These Terms of Service ("Terms") form a binding agreement between AgentEngine Pvt. Ltd. d/b/a AgentEngine ("AgentEngine," "we," "us," or "our") and the person or entity accessing or using the Service ("Customer," "you," or "your").
By creating an account, clicking to accept these Terms, starting a free trial, purchasing a subscription, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, you may not access or use the Service.
Our Privacy Policy and any applicable order, checkout page, enterprise order form, or data processing addendum are incorporated by reference to the extent applicable to your use of the Service.
1. The Service
1.1 What AgentEngine Provides
AgentEngine is a hosted AI platform that enables customers to create, configure, train, manage, and deploy knowledge-backed AI agents through web applications, APIs, embedded widgets, and related integrations.
The Service may include dashboards, documentation, templates, APIs, widgets, analytics, workflow tools, and related materials we make available ("AgentEngine Materials").
1.2 Customer Subscription and Access
Subject to these Terms, AgentEngine grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Service for your internal business purposes in accordance with your selected plan and any applicable ordering terms.
Use of the Service is limited to you and your authorized users ("Users"). You are responsible for all use of the Service under your account and your Users' accounts.
1.3 Changes to the Service
AgentEngine is a continuously evolving service. We may modify, improve, replace, suspend, or discontinue features from time to time. We will use reasonable efforts not to materially reduce the core functionality of a paid subscription during its active term, except where required for security, legal, operational, or third-party dependency reasons.
1.4 Free Plans, Trials, and Beta Features
We may offer free tiers, free trials, preview releases, alpha, beta, or experimental features at our discretion. Unless otherwise stated, such offerings are provided "as is," may be changed or discontinued at any time, and may be subject to additional limitations.
2. Accounts and Customer Responsibilities
2.1 Registration and Account Security
You must provide accurate and complete registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
You must notify us promptly if you become aware of unauthorized access to your account or credentials.
2.2 Authorized Users and Permissions
The Service may allow you to assign roles, workspaces, bot access, and other permissions. You are solely responsible for configuring and managing those permissions, including determining what access each User has.
2.3 Customer Responsibility for Content and Use
You are responsible for:
- your Users' compliance with these Terms;
- all prompts, files, documents, URLs, text, instructions, chat content, and other data submitted to the Service;
- ensuring you have all rights, permissions, and lawful basis required to use that content with the Service;
- your deployment and use of agents in compliance with applicable law and your own notices and policies.
3. Customer Content
3.1 Customer Content Defined
"Customer Content" means any data, content, materials, prompts, documents, websites, uploaded files, chat transcripts, agent settings, configurations, instructions, and other information submitted to or processed through the Service by or on behalf of you or your Users.
3.2 Ownership
As between the parties, you retain all rights, title, and interest in and to Customer Content, subject to the rights you grant under these Terms.
3.3 License to AgentEngine
You grant AgentEngine a non-exclusive, worldwide, limited license to host, copy, transmit, display, process, index, store, retrieve, modify, and otherwise use Customer Content solely as necessary to provide, secure, maintain, support, and improve the Service, and to comply with legal obligations.
3.4 Responsibility for Customer Content
You represent and warrant that:
- you have all rights necessary to provide Customer Content to AgentEngine;
- your use of the Service and Customer Content will not infringe, misappropriate, or violate the rights of any third party;
- your use of the Service complies with all applicable laws, regulations, and contractual obligations.
4. Acceptable Use and Restrictions
You may not, and may not permit others to:
- use the Service in violation of any law, regulation, sanctions program, or third-party right;
- upload or process unlawful, infringing, fraudulent, defamatory, abusive, or misleading content;
- use the Service to exploit, harm, or attempt to exploit minors;
- attempt to gain unauthorized access to the Service or related systems;
- interfere with, disrupt, damage, or degrade the Service or its security;
- reverse engineer, decompile, disassemble, or attempt to derive source code or underlying models, except where prohibited by law;
- copy, modify, create derivative works of, resell, lease, sublicense, or commercially exploit the Service except as expressly permitted;
- use bots, scripts, or automation to scrape or harvest the Service except through officially supported APIs and features;
- use the Service to build, benchmark, or train a competing product using the Service in a way that harms AgentEngine;
- upload malware or perform denial-of-service, load-testing, or vulnerability scanning without written authorization;
- misrepresent outputs as purely human-generated where doing so would be deceptive or unlawful;
- use the Service for high-risk activities where failures could reasonably result in death, bodily injury, or severe physical or environmental damage.
We may suspend or restrict access if we reasonably believe your use violates these Terms, threatens the Service, creates legal risk, or harms other users.
5. AI Outputs and Use of Third-Party Models
The Service may generate responses, summaries, extractions, classifications, recommendations, or other outputs ("Outputs") using retrieval systems and third-party AI models.
You understand and agree that:
- Outputs may be inaccurate, incomplete, outdated, or inappropriate for your use case;
- you are responsible for reviewing Outputs before relying on them;
- AgentEngine does not guarantee factual accuracy, legal compliance, or fitness of any Output for a particular purpose;
- some Service functionality may depend on third-party model and infrastructure providers.
Depending on configuration, the Service may use providers such as Google, Anthropic, Voyage AI, and other third-party providers. Your use of functionality that depends on those providers may also be subject to their applicable terms and policies.
6. APIs, Widgets, and Integrations
6.1 API and Widget Use
If AgentEngine provides APIs, embeddable widgets, or tokens for integrating the Service into external products or websites, you may use them only in accordance with our documentation, plan limits, and these Terms.
6.2 Integration Responsibility
You are responsible for any external sites, applications, or services into which you embed or integrate AgentEngine, including notices, permissions, and compliance obligations applicable to your end users.
6.3 Third-Party Services
The Service may interoperate with third-party products or services ("Third-Party Services"). Your use of Third-Party Services is governed by your agreement with the relevant provider, not these Terms. We are not responsible for Third-Party Services or for any unavailability, errors, or losses caused by them.
7. Fees, Billing, and Taxes
7.1 Fees
You agree to pay all fees associated with your selected plan, usage, or enterprise order ("Fees"). Unless otherwise stated, Fees are denominated in U.S. dollars and are non-cancellable and non-refundable except as expressly stated in these Terms or required by law.
7.2 Billing Authorization
If you subscribe to a paid plan, you authorize AgentEngine and its payment processors to charge your selected payment method on a recurring basis for subscription fees, renewals, overages, taxes, and other amounts due.
7.3 Auto-Renewal
Subscriptions renew automatically for successive periods equal to the initial subscription term unless canceled before renewal in accordance with the Service or your ordering terms.
7.4 Payment Processors
We may use third-party payment processors, including LemonSqueezy or successor processors. Payment transactions may also be subject to those providers' terms and privacy practices.
7.5 Late or Failed Payment
If payment fails or your account is delinquent, we may suspend or downgrade your access to the Service until amounts due are paid in full.
7.6 Taxes
Fees do not include taxes. You are responsible for any sales, use, VAT, GST, withholding, or similar taxes, duties, or governmental charges associated with your purchase or use of the Service, excluding taxes based on our net income.
8. Subscription Changes, Cancellation, and Termination
8.1 Cancellation by Customer
You may cancel your subscription renewal at any time through your account settings if available, or by contacting us. Unless otherwise stated, cancellation takes effect at the end of the current paid term and does not entitle you to a refund for the unused portion of that term.
8.2 Suspension or Termination by AgentEngine
We may suspend or terminate your access to the Service, with or without notice, if:
- you breach these Terms;
- you fail to pay amounts due;
- your use poses a security, legal, or operational risk;
- we are required to do so by law or a third-party provider;
- you misuse the Service or exceed permitted usage in a manner that harms the platform or other users.
8.3 Effect of Termination
Upon expiration or termination:
- your right to access and use the Service ends;
- any outstanding payment obligations remain due;
- we may delete or de-identify Customer Content after a reasonable post-termination period, subject to legal obligations and standard backup retention;
- sections that by their nature should survive will survive, including payment obligations accrued before termination, ownership, disclaimers, liability limitations, confidentiality, and general terms.
9. Intellectual Property
9.1 AgentEngine Ownership
AgentEngine and its licensors retain all rights, title, and interest in and to the Service, AgentEngine Materials, software, documentation, branding, usage analytics that do not identify you, and all related intellectual property rights.
9.2 Feedback
If you provide suggestions, ideas, feedback, or improvement requests, you grant AgentEngine a worldwide, perpetual, irrevocable, royalty-free right to use and exploit that feedback without restriction or obligation to you.
10. Confidentiality
10.1 Confidential Information
"Confidential Information" means non-public information disclosed by one party to the other that should reasonably be understood as confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information includes Customer Content. Our Confidential Information includes non-public aspects of the Service, pricing, security information, and product roadmap information.
10.2 Protection Obligations
The receiving party will:
- protect the disclosing party's Confidential Information using at least reasonable care;
- use it only as necessary to perform under these Terms;
- disclose it only to personnel, contractors, and advisors who need to know it and are bound by confidentiality obligations.
10.3 Exclusions
Confidential Information does not include information that:
- becomes public without breach of these Terms;
- was already lawfully known to the receiving party;
- is lawfully received from a third party without confidentiality restriction;
- is independently developed without use of the disclosing party's Confidential Information.
10.4 Required Disclosures
The receiving party may disclose Confidential Information if required by law, regulation, or court order, provided it gives notice where legally permitted and reasonably cooperates with any effort to limit disclosure.
11. Data and Privacy
Our collection and use of personal data is described in our Privacy Policy.
Where AgentEngine processes Customer Content containing personal data on your behalf, you acknowledge that you are the controller or business responsible for that data unless otherwise specified, and you instruct AgentEngine to process such data as necessary to provide the Service.
You are responsible for obtaining any notices, consents, and permissions required for end-user interactions with your deployed agents.
12. Security
We use reasonable administrative, technical, and organizational measures designed to protect the Service and Customer Content. However, no system is completely secure, and you acknowledge that the Service may be subject to interruptions, vulnerabilities, or unauthorized events despite reasonable safeguards.
13. Publicity
We will not publicly use your name, logo, or trademarks in marketing materials without your prior written consent, unless your plan or separate written agreement states otherwise.
14. Disclaimers
THE SERVICE, OUTPUTS, APIs, WIDGETS, DOCUMENTATION, AND ALL RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTENGINE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPLETELY ACCURATE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE SUITABLE FOR ANY PARTICULAR USE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AGENTENGINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- AGENTENGINE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO AGENTENGINE FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID ANY FEES.
These limitations apply regardless of the legal theory and even if a limited remedy fails of its essential purpose.
16. Indemnification
You will defend, indemnify, and hold harmless AgentEngine and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Customer Content;
- your use of the Service;
- your violation of these Terms;
- your violation of applicable law or third-party rights;
- your deployed agents' interactions with end users, except to the extent caused by our breach of these Terms.
17. Export Controls and Sanctions
You may not use, access, or export the Service in violation of applicable export control or sanctions laws. You represent that you are not located in, organized in, or ordinarily resident in any country or territory subject to comprehensive sanctions, and that you are not listed on any restricted party list that would prohibit your use of the Service.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts, unless applicable law requires otherwise.
Each party waives any right to a jury trial to the extent permitted by law.
19. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms in the Service or on our website, by email, or by other reasonable means. Unless otherwise stated, updated Terms become effective when posted.
Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
20. General Terms
20.1 Entire Agreement
These Terms, together with any applicable order, privacy policy, data processing addendum, and other referenced documents, constitute the entire agreement between you and AgentEngine regarding the Service and supersede prior or contemporaneous agreements on the same subject matter.
20.2 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
20.3 Force Majeure
Neither party will be liable for delay or failure to perform due to causes beyond its reasonable control, including internet outages, cloud or utility failures, labor disputes, war, terrorism, civil unrest, natural disasters, pandemics, or governmental actions.
20.4 Independent Contractors
The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, franchise, fiduciary, or agency relationship.
20.5 No Waiver
Failure to enforce any provision of these Terms is not a waiver of that provision.
20.6 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.
20.7 Notices
We may provide notices to you through the Service, by email, or by posting them on our website. You must send legal notices to us at the contact information listed below unless a separate agreement states otherwise.
